BIOGRAPHY

Winston brings almost three decades of legal expertise on corporate transactions and matters, specialising in mergers and acquisitions, joint ventures, banking, corporate finance and corporate restructuring. He has advised a diverse range of clientele, including multi-national corporations, small and medium local enterprises, and state-owned entities across Southeast Asia, particularly on cross-border merger and acquisitions, and foreign direct investment in the energy, infrastructure, and technology industries.

 

Notably, Winston has advised Vietnamese tech giant VNG Corporation on all aspects of two multi-million dollar investments: in Funding Societies, a digital financing platform in Southeast Asia, participating in its Series C+ and C2 round of fundraising, which cumulated to approximately US$144 million, and in Telio, a business-to-business e-commerce company, participating in its Series A2 funding round. He also acted as lead counsel for PT Kayan Hydro Energy, PT PLTU Celukan Bawang and PT General Energy Bali on key Belt and Road Initiative projects along Indonesia’s Regional Comprehensive Economic Corridor, which comprised PT Kayan’s signing of an Engineering Procurement and Construction contract exceeding US$1 billion with Power China Group’s Sinohydro.

 

Winston’s other recent matters involve:

 

  • Attempted restructuring and subsequent insolvency of ZenRock;
  • Acquisition of former Bay Hotel Singapore and the relevant licence applications;
  • Joint venture between Indonesian power plant owner, PT PLTG Celukan Bawang, and Chinese conglomerate, Shanghai Group Co., Ltd, to develop, build, and own a gas-fired power plant in Indonesia;
  • Participation of both Series C investors in the Series C funding round by an international e-commerce platform based in Singapore; and
  • Proposed investment in a coal-fired power BOT project in Vietnam by a Chinese state-owned enterprise.
